Welcome to https://profitpathai.com (the “Website”). These Terms of Use (the “Agreement”) outline your rights and responsibilities when using the Website, platform, and related services offered by ProfitPath AI Inc. (“Company,” “us,” “we,” or “our”), headquartered in Hamilton, Ontario, Canada.

1. Acceptance of Terms

By using or accessing our services, you affirm that you have read, understood, and agree to be legally bound by these terms. If you are using our services on behalf of a business or entity, you represent that you have the authority to bind such entity to this Agreement.

2. Eligibility

- Reside in Canada, the U.S., the U.K., or an approved service region;

- Not use the platform for competitive purposes.

By using our services, you represent and warrant that you meet all of the above requirements.

B. Renewals & Cancellations

Subscriptions may renew automatically unless canceled before the renewal date. Cancellations must be submitted through your dashboard or in writing to [email protected].

C. Refunds

Refunds may be issued in our sole discretion, typically within the first 7 days of a new billing cycle.

7. Intellectual Property

All content on the Website (text, images, software, branding) belongs to ProfitPath AI Inc. or its licensors. You may not reproduce, distribute, or create derivative works without our written consent.

8. User Content & Feedback

If you upload or submit content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display it as necessary to deliver our services. You also grant us permission to use anonymized or aggregate feedback to improve our systems.

9. Privacy Policy

Your use of our services is also governed by our Privacy Policy. We are committed to compliance with Canadian privacy laws, including PIPEDA.

10. Third-Party Services

Our platform may integrate with or link to third-party services (e.g., Stripe, Google Calendar). We are not responsible for the practices or policies of those services. Use them at your own risk.

11. SMS Notifications

By opting in, you consent to receive SMS messages related to bookings, reminders, and service updates. Message and data rates may apply. You can opt out by replying "STOP" to any SMS.

12. Termination

We may suspend or terminate your access to the Services at any time, for any reason, without prior notice. Upon termination, your license to use the Services shall cease.

13. Disclaimer of Warranties

The Website and services are provided “AS IS” and “AS AVAILABLE.” We disclaim all warranties, including but not limited to fitness for a particular purpose, merchantability, or non-infringement.

14. Limitation of Liability

To the fullest extent permitted by law, we are not liable for any indirect, incidental, or consequential damages, including loss of data or profits, arising from your use of the Services.

15. Indemnification

You agree to indemnify and hold harmless ProfitPath AI Inc., its affiliates, and employees from any claims or damages resulting from your use of the Services or your violation of these Terms.

16. Governing Law & Jurisdiction

This Agreement shall be governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. You agree to submit to the jurisdiction of courts located in Hamilton, Ontario.

17. Dispute Resolution

In case of a dispute, parties agree to first attempt informal resolution. If unresolved, disputes will be subject to arbitration in Ontario under the Arbitration Act, 1991 (Ontario).

18. Miscellaneous

Severability: If any provision is invalid, the remainder shall remain in effect.

Waiver: Our failure to enforce any provision does not waive our right to do so later.

Assignment: You may not assign these Terms without our consent.
